Terms and Conditions

1. Acceptance of Terms

By accessing, browsing, or using BuildAdda ("the Platform"), operated by Himmat Singh Rajawat ("the Owner"), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms in their entirety, you must immediately cease using the Platform.

These Terms constitute a legally binding agreement between you and BuildAdda. Your continued use of the Platform following any modifications to these Terms constitutes your acceptance of such modifications.

2. Platform Role and Nature of Service

2.1 Intermediary Platform

BuildAdda is solely a technology-based intermediary platform that facilitates connections between independent distributors/sellers and customers for the purchase of building materials and construction supplies. BuildAdda does NOT sell, manufacture, store, ship, inspect, verify, or guarantee any products listed on the Platform.

2.2 No Party to Transactions

BuildAdda is NOT a party to any transaction between distributors/sellers and customers. All transactions are conducted directly between the distributor/seller and the customer. BuildAdda merely provides the technological infrastructure to facilitate such transactions.

2.3 No Agency Relationship

Nothing in these Terms shall be construed to create any partnership, joint venture, employer-employee, agency, or franchisor-franchisee relationship between BuildAdda and any user (whether customer or distributor).

3. User Eligibility and Account

3.1 Eligibility

You must be at least 18 years of age and competent to enter into legally binding contracts under the Indian Contract Act, 1872 to use this Platform.

3.2 Account Registration

You must create an account with accurate, complete, and current information. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account.

3.3 Prohibited Activities

• Providing false, misleading, or fraudulent information
• Impersonating another person or entity
• Interfering with, disrupting, or attempting to gain unauthorized access to the Platform
• Uploading harmful code, viruses, or malicious content
• Using the Platform for any unlawful, illegal, or unauthorized purpose
• Engaging in price manipulation, fake reviews, or deceptive practices

4. Products and Orders

4.1 Product Information

All product information, descriptions, images, specifications, and pricing displayed on the Platform are provided solely by the respective distributors/sellers. BuildAdda does not verify, endorse, or guarantee the accuracy, completeness, or reliability of any product information. Users are advised to independently verify product details before making purchase decisions.

4.2 Pricing

All prices are listed in Indian Rupees (INR) and are set by the respective distributors/sellers. BuildAdda has no control over product pricing and is not responsible for any pricing errors, discrepancies, or disputes.

4.3 Order Acceptance

Placing an order on the Platform constitutes an offer to purchase from the respective distributor/seller. Order acceptance, fulfillment, and delivery are the sole responsibility of the distributor/seller. BuildAdda reserves the right to cancel any order in cases of suspected fraud or Platform misuse.

4.4 Payment

Payments are processed through PhonePe's secure payment gateway for online transactions. Cash on Delivery (COD) is also available where offered by the distributor. BuildAdda facilitates payment processing but does not hold, manage, or guarantee funds beyond the scope of payment gateway facilitation.

5. Distributor Terms

5.1 Distributor Registration

Distributors must provide valid business information and documents for verification. Approval of distributor accounts is at BuildAdda's sole discretion and may be revoked at any time.

5.2 Distributor Responsibilities

Distributors are solely and entirely responsible for:

• Accuracy of all product listings, descriptions, images, and pricing
• Product quality, safety, legality, and compliance with applicable laws
• Maintaining adequate stock and inventory
• Order fulfillment, packaging, and timely delivery
• Handling all customer complaints, returns, refunds, and disputes
• Compliance with all applicable laws including GST, consumer protection, and product liability laws
• Obtaining and maintaining all necessary licenses, permits, and certifications

5.3 Subscription

Distributors must maintain an active subscription plan to list and sell products on the Platform. Subscription fees are non-refundable except as expressly stated otherwise.

6. Customer Responsibilities

Customers acknowledge and agree that:

• They are responsible for verifying product suitability for their intended purpose before purchase
• They must inspect products upon delivery and report any issues to the distributor directly
• Any disputes regarding product quality, quantity, delivery, or pricing must be resolved directly with the distributor/seller
• BuildAdda is not liable for any product-related issues, damages, losses, or injuries
• They use the Platform and purchase products entirely at their own risk

7. Refund, Return and Dispute Disclaimer

BuildAdda does NOT process, manage, or guarantee any refunds or returns. All refund and return policies are determined and executed solely by the respective distributor/seller. BuildAdda may facilitate automated refund processing through the payment gateway as a convenience feature, but this does not create any obligation or liability on BuildAdda's part.

All disputes between customers and distributors must be resolved directly between the concerned parties. BuildAdda may, at its sole discretion, assist in dispute resolution as a facilitator but is under no obligation to do so. BuildAdda's decision in any facilitated dispute resolution shall be final.

8. Limitation of Liability

To the maximum extent permitted by applicable law, BuildAdda, its owner Himmat Singh Rajawat, its affiliates, officers, directors, employees, agents, and licensors shall NOT be liable for:

• Any direct, indirect, incidental, special, consequential, or punitive damages
• Any loss of profits, revenue, data, or business opportunities
• Any product defects, quality issues, or safety hazards
• Any incorrect, misleading, or fraudulent product information provided by distributors
• Any physical injury, property damage, or financial loss arising from the use of products purchased through the Platform
• Any delivery delays, failures, damages during transit, or non-delivery
• Any disputes between customers and distributors/sellers
• Any unauthorized access to or alteration of your data
• Any interruption, suspension, or termination of the Platform

In no event shall BuildAdda's total aggregate liability exceed the amount paid by you to BuildAdda (not to the distributor) in the twelve (12) months preceding the event giving rise to the claim.

9. No Warranty

The Platform is provided on an "AS IS" and "AS AVAILABLE" basis without any warranties of any kind, either express or implied. BuildAdda expressly disclaims all warranties including, but not limited to:

• Warranties of merchantability and fitness for a particular purpose
• Warranties regarding the accuracy, reliability, or completeness of any product information
• Warranties that the Platform will be uninterrupted, error-free, secure, or virus-free
• Any warranties regarding the quality, safety, or legality of products listed by distributors

10. Indemnification

You agree to indemnify, defend, and hold harmless BuildAdda, its owner Himmat Singh Rajawat, its affiliates, officers, directors, employees, agents, licensors, and successors from and against any and all claims, demands, actions, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to:

• Your use of or access to the Platform
• Your violation of these Terms
• Your violation of any third-party rights
• Any transaction between you and any distributor/seller
• Any product you purchase, sell, or list on the Platform
• Any dispute between you and any other user of the Platform
• Any content you submit, post, or transmit through the Platform

11. Intellectual Property

All content on BuildAdda, including text, graphics, logos, icons, software, and design elements, is owned by BuildAdda or its licensors and is protected by applicable copyright, trademark, and intellectual property laws. Unauthorized use, reproduction, or distribution is strictly prohibited.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Jaipur, Rajasthan, India.

13. Modifications to Terms

BuildAdda reserves the right to modify, amend, or update these Terms at any time without prior notice. Changes shall be effective immediately upon posting on the Platform. It is your responsibility to review these Terms periodically. Your continued use of the Platform after any modifications constitutes acceptance of the updated Terms.

14. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms, together with the Privacy Policy and Returns & Refunds Policy, constitute the entire agreement between you and BuildAdda regarding the use of the Platform.
